Terms of Service

Please read these Terms of Service ("Terms") carefully before using the ReferralMate platform. By creating an account or using any part of our services, you agree to be bound by these Terms. If you do not agree, do not use ReferralMate.

1. About ReferralMate

ReferralMate provides an online marketplace where licensed real estate agents ("Agents") can post referral opportunities, apply to receive referrals from other agents, and manage referral relationships. ReferralMate is a technology platform only — we are not a real estate brokerage, and we do not represent buyers, sellers, landlords, or tenants.

2. Eligibility and Account Registration

To use ReferralMate, you must:

  • Be a licensed real estate agent or broker in good standing in at least one U.S. state.
  • Be at least 18 years of age.
  • Have the legal authority to enter into these Terms.
  • Not have been previously suspended or removed from ReferralMate.

When you register, you agree to provide accurate, current, and complete information, including your real estate license number and state(s) of licensure. You are responsible for keeping your account information up to date. ReferralMate may verify your license status at any time and may suspend or terminate your account if we cannot confirm your license is active and in good standing.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at admin@referralmate.co if you suspect unauthorized access.

3. The ReferralMate Marketplace

A. Posting Referrals

Agents may post referral opportunities on the platform, including details such as client type, geographic area, transaction type, and proposed referral fee. By posting a referral, you represent that:

  • You have a bona fide referral opportunity to share.
  • You have obtained any necessary consent from the client to share their information on the platform.
  • The referral complies with all applicable real estate laws and regulations in the relevant jurisdiction.
  • You are authorized by your brokerage (if applicable) to make the referral.

B. Applying to Referrals

Agents may apply to referral opportunities posted by other agents. By applying, you represent that you are licensed and qualified to represent clients in the relevant geographic area and transaction type. Agents who post referrals have sole discretion over which applicants they select.

C. Referral Agreements

Any referral agreement entered into between agents through ReferralMate is solely between those agents. ReferralMate is not a party to any referral agreement and is not responsible for the performance of either party under such agreements. Agents are solely responsible for ensuring their referral agreements comply with applicable state real estate laws and brokerage requirements.

D. Referral Fees

ReferralMate may facilitate the payment of referral fees between agents through the platform. If you use our payment features, you agree to pay any applicable platform fees as described in our current fee schedule (available in your account settings). Referral fees between agents are set by the agents themselves — ReferralMate does not set, guarantee, or regulate the amount of any referral fee.

4. Agent Conduct and Prohibited Activities

You agree to use ReferralMate only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Post false, misleading, or inaccurate information about yourself, your license, or any referral opportunity.
  • Contact clients or prospects obtained through the platform for purposes other than the specific referral for which their information was shared.
  • Solicit other agents to move to your brokerage or engage in any unauthorized recruiting activity.
  • Use the platform to harass, intimidate, or discriminate against any agent or third party.
  • Circumvent the platform's referral fee or payment process to avoid applicable platform fees.
  • Scrape, copy, or harvest data from the platform without express written permission.
  • Use automated bots, scripts, or other tools to interact with the platform.
  • Post content that infringes on the intellectual property rights of any third party.
  • Violate any applicable law, including fair housing laws, real estate licensing laws, or anti-spam regulations.
  • Share another agent's personal information outside the platform without their consent.

ReferralMate reserves the right to remove any content and suspend or terminate any account that violates these Terms, at our sole discretion and without prior notice.

5. Platform Fees and Payments

ReferralMate may charge fees for certain features or transactions on the platform, such as subscription plans, featured listings, or transaction processing fees. Current fee information is available in your account settings and may be updated from time to time. We will provide reasonable advance notice of any changes to fees that affect active subscriptions.

All fees are non-refundable except as expressly stated in our refund policy or as required by applicable law. You authorize ReferralMate to charge your payment method on file for all applicable fees. If a payment fails, we may suspend your access to the platform until payment is resolved.

6. Intellectual Property

A. ReferralMate Content

The ReferralMate platform, including its design, software, features, and content created by ReferralMate, is owned by ReferralMate and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform or content without our express written permission.

B. Your Content

You retain ownership of content you post on ReferralMate, such as your profile, referral postings, and messages. By posting content, you grant ReferralMate a non-exclusive, royalty-free, worldwide license to use, display, and distribute your content as necessary to operate the platform. You represent that you have all rights necessary to grant this license.

7. Disclaimers

ReferralMate does not warrant that: (a) the platform will be uninterrupted or error-free; (b) referral opportunities posted by other agents are accurate, legitimate, or compliant with applicable law; (c) any agent you connect with through the platform is properly licensed, qualified, or reliable; or (d) any referral transaction will be completed successfully.

You are solely responsible for verifying the credentials, license status, and qualifications of any agent you work with through ReferralMate. ReferralMate is not responsible for the actions or omissions of any agent.

8. Limitation of Liability

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless ReferralMate and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any referral agreement you enter into with another agent; or (e) any content you post on the platform.

10. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of ReferralMate shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You and ReferralMate each waive the right to a jury trial and to participate in a class action lawsuit or class-wide arbitration.

You may opt out of this arbitration agreement by sending written notice to admin@referralmate.co within 30 days of first accepting these Terms. Nothing in this section prevents either party from seeking emergency injunctive relief in court.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. To the extent court proceedings are permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

12. Account Suspension and Termination

You may close your account at any time by contacting us at admin@referralmate.co. ReferralMate may suspend or terminate your account at any time, with or without cause, including for violation of these Terms, inactivity, or if we determine that your real estate license is no longer active.

Upon termination, your right to use the platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 6, 7, 8, 9, 10, and 11) will survive.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of ReferralMate after updates constitutes acceptance of the revised Terms.

14. Miscellaneous

  • Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and ReferralMate regarding your use of the platform.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. ReferralMate may assign its rights freely.
  • Force Majeure: ReferralMate will not be liable for delays or failures in performance resulting from causes beyond our reasonable control.

Communications: By providing your contact information, including your phone number, you agree that ReferralMate may contact you via email or SMS for transactional and service-related purposes. Message and data rates may apply.
